1. Acceptance of Terms

By accessing or using the website and services provided by Finactivity OY (the "Company", "we", "us", "our"), you confirm that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our website or services.

2. Services Provided

Finactivity OY provides a range of digital and IT services, including but not limited to: custom software development, distribution of IT products, administration of IT infrastructure and cloud resources, internet advertising, and global promotion of IT products. The specific scope, deliverables, timelines, and pricing for each engagement are set out in a separate written agreement or service order between the Company and the client.

3. Acceptable Use

You agree to use our website and services solely for lawful purposes and in a manner consistent with all applicable Finnish, EU, and international laws and regulations. The following activities are strictly prohibited:

• Uploading, transmitting, or distributing any content that is unlawful, harmful, defamatory, or infringes third-party intellectual property rights
• Attempting to gain unauthorized access to our systems, networks, or data
• Using our services to send unsolicited communications (spam) or engage in phishing
• Reverse engineering, decompiling, or disassembling any software provided by the Company
• Reselling or sublicensing our services without prior written consent

6. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the course of a business relationship, including technical specifications, pricing, business strategies, and client data. Confidentiality obligations survive the termination of any service agreement for a period of three (3) years. This clause does not apply to information that is or becomes publicly available through no fault of the receiving party.

7. Payment and Invoicing

Payment terms are specified in the applicable service agreement. Unless otherwise agreed in writing, invoices are due within fourteen (14) calendar days of the invoice date. Late payments may be subject to statutory interest charges under Finnish law. The Company reserves the right to suspend services in the event of non-payment.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Finactivity OY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with the use or inability to use our services or website. The Company's total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by the client to Finactivity OY in the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Finactivity OY, its officers, employees, and partners from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your infringement of any third-party rights.

10. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Updated Terms will be posted on this website with a revised effective date. For existing clients, material changes will be communicated by email where possible. Continued use of our services following the posting of changes constitutes your acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of Finland, excluding its conflict-of-law provisions. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If no resolution is reached within thirty (30) days, the dispute shall be submitted to the competent courts of Finland.

As a general guideline: contact and inquiry data is retained for up to 3 years; data related to service contracts is retained for up to 7 years in accordance with Finnish accounting legislation; cookie data is retained according to the lifetime of each cookie (typically 1–24 months). After the retention period expires, data is securely deleted or anonymized.

Under the GDPR, you have the following rights regarding your personal data:
